Terms of Service

Welcome to Nexus Games, offered by Nexus Games Labs, Inc., a Delaware corporation ("Nexus Games", "we", "us" or "our"). The following terms and conditions (these "Terms") apply to your use of our websites, including any content, gaming and other functionality, products, and services offered on or through such websites (collectively, the "Services"), whether as a guest or a registered user. Where our Services include competitions (including Atlas Arena), the applicable Competition Entry Rules also apply to all participants.

Please read these Terms carefully before you start to use the Services. By using the Services, you accept and agree to be bound and abide by these Terms. If you do not want to agree to these Terms, you must not use the Services or set up an Account (as defined below).

In addition to these Terms, you agree to the Competition Entry Rules (where applicable) as well as our Privacy Policy, which explains what information we collect from you and how we protect it, and which is expressly incorporated into and a part of these Terms. Please read them carefully.

These Terms contain a binding, individual arbitration and class-action waiver provision. If you accept these Terms, you and Nexus Games agree to resolve disputes in binding, individual arbitration and give up the right to go to court individually or as part of a class action.

To enter into the contract created by these Terms, you must be an adult of the legal age of majority in your country of residence (18 years old in the U.S.A.). If you are under the age of majority but at least 13 years old, you may access and use the Services only with the consent and under the supervision of a parent or legal guardian who (a) reviews and accepts these Terms on your behalf, and (b) agrees to be legally responsible for your account and your use of the Services. The parent or guardian is responsible for all actions on the minor's account, including payments made through the account.

Minor Users & Parental Consent

Eligibility. The Services are intended for users ages 13 and older. Users under 18 ("Minors") may use the Services only with verifiable consent and ongoing supervision from a parent or legal guardian ("Parent").

Children under 13. The Services are not directed to children under 13, and children under 13 are not permitted to register or use the Services. We use age-screening during registration. If we learn that a user under 13 has created an account or provided personal information, we will promptly delete the account and associated information.

Parental consent flow. During account registration for a Minor, Nexus Games will collect a Parent contact email. Nexus Games may send the Parent a notice describing our practices and these Terms and require affirmative consent before the Minor's account is activated. Until consent is received, access for the Minor may be limited or restricted.

Parent responsibilities. By permitting a Minor to use the Services, the Parent agrees to (i) be bound by these Terms as to the Minor's use, (ii) supervise the Minor's activity and account security, and (iii) accept financial responsibility for charges and fees incurred on the Minor's account to the extent permitted by law.

Account controls. Parents may request closure of a Minor's account at any time using the contact information provided in these Terms, and Nexus Games will delete or anonymize personal information associated with the Minor as described in our Privacy Policy.

Disaffirmance. Under applicable law, Minors may have the right to disaffirm these Terms. If a Minor disaffirms, Nexus Games will close the account and refund any unused prepaid amounts where required by law; Parents remain responsible for obligations incurred prior to disaffirmance.

Report under-13 accounts. If you believe a child under 13 has created an account, please contact us at support@nexusgames.com so we can promptly delete the account and associated information.

Changes to the Terms of Service

We may update these Terms and the Competition Entry Rules from time to time. Please check this page regularly to take notice of any changes. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. We will endeavor to update you by your preapproved method of communication in case we revise the Terms materially.

Accessing the Services and Account Security

To access certain Services, you will be asked to provide registration details or other information in order to create an account ("Account"). You promise that all the information you provide in Account set-up will be correct, current, and complete. We use age-screening during registration. Users who indicate they are under 13 are not permitted to create an account.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures for your Account, you must treat such information as confidential (other than username), and you must not disclose it to others. You must immediately notify Nexus Games at support@nexusgames.com of any unauthorized use of your username or password or any other breach of security. You should be careful when accessing your Account from a public or shared computer so that others are not able to view or record your password or other personal information. You may only access the Services through your own account. Users do not own their Accounts, and gifting or otherwise transferring of Accounts or access keys is prohibited.

We reserve the right to change your display name if we deem it offensive, misleading, potentially infringing the rights of third parties or if you have been inactive for more than a year.

Nexus Games may, in its sole discretion, limit, suspend, terminate, modify, and/or delete Accounts or access to the Services or any portion of it and prohibit access to the game, any discussion board or content, service and tools, or delay or remove hosted content, without notice, for any reason, including a suspected violation of these Terms, illegal or improper use of your Account, or illegal or improper use of the Services or our intellectual property. You may lose your username, password and all related information and files associated with your Account as a result of Account termination, and Nexus Games is under no obligation to compensate you for any such losses.

Any attempt by you to disrupt or interfere with the Services, including undermining or manipulating the legitimate operation of any part of the Services, is a violation of our policies and may be a violation of criminal and civil laws applicable in your jurisdiction.

If you want us to cancel or delete your Account, you can contact us at support@nexusgames.com or cancel the Account through the mechanisms set out on our website.

Intellectual Property Rights

The Services, including all content, features, and functionality thereof, are owned by Nexus Games, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, and other intellectual property or proprietary rights laws.

Grants

We grant valid Account holders a non-exclusive, non-transferable, non-sub-licensable, personal, limited and revocable right to access and use our Services, subject at all times to your strict compliance with these Terms and, where applicable, the Competition Entry Rules. We reserve all other rights, including all right, title and interest in the Services and associated intellectual property rights.

Feedback

If you provide Nexus Games with any Feedback (as defined below), you hereby grant Nexus Games a non-exclusive, fully paid, royalty-free, worldwide, perpetual, irrevocable, sublicensable, transferable, and assignable license to use, reproduce, distribute, modify, adapt, prepare derivative works based on, publicly perform, publicly display, make, have made, use, sell, offer to sell, import, and otherwise exploit any and all Feedback for any purposes, for all current and future methods and forms of exploitation.

"Feedback" means suggestions, comments, ideas, and all other types of information, including software and code, that you provide, publish, or otherwise communicate directly or indirectly (including via your employees, agents, contractors, or representatives) to Nexus Games or its agents that relates to the Services. If any such rights may not be licensed under applicable law (such as moral and other personal rights), you hereby waive and agree not to assert any such rights. You understand and agree that Nexus Games is not required to make any use of any Feedback that you provide, and that if Nexus Games makes use of your Feedback, Nexus Games is not required to credit or compensate you for your contribution. You represent and warrant that you have sufficient rights in any Feedback that you provide to Nexus Games to grant Nexus Games and other affected parties the rights described above.

Restrictions

You agree that you will not use, decompile, reverse engineer, copy, reproduce, transmit, publicly perform, distribute, commercially exploit, adapt, translate, modify, bundle, merge, share or make available to any person, or create derivative works of the Services. Further, you may not use any automation tools, macros, bots, auto-typers or tools to circumvent any technical mechanisms or protections in place; share, sell or buy any accounts; participate in any real-world trading; use multiple accounts to break any of these Terms; exploit any known faults or bugs in the Services; encourage others to break any of these Terms; use inappropriate language or behavior, including any action that may be considered offensive, racist, obscene, or discriminatory; ask for personal details of other users; or advertise other websites in the Services or any Nexus Games authorized forums or social media platforms. The foregoing permissions are limited to the Services, and no rights are granted with respect to any servers, computers, or databases associated with the Services.

Representations

In addition to the representation about your age above, you represent that you are not (a) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties (including the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury) or (b) a citizen, resident, or organized in a jurisdiction or territory that is the subject of comprehensive country-wide, territory-wide, or regional economic sanctions by the United States. You represent that your access and use of our Services will fully comply with all applicable laws and regulations, and that you will not access or use our Services to conduct, promote, or otherwise facilitate any illegal activity.

Indemnification

This section only applies to the extent permitted by applicable law. You agree to defend, indemnify, and hold harmless Nexus Games, its affiliates, and licensors, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) resulting from (a) any claim that, if true, would constitute a breach by you of these Terms or negligence by you, (b) any act or omission by you in using the Services, or (c) any claim of infringement or violation of any third-party intellectual property rights. You agree to reimburse Nexus Games on demand for any defense costs incurred by Nexus Games and any payments made or loss suffered by Nexus Games, whether in a court judgment or settlement, based on any matter covered by this indemnification obligation.

Limitation of Liability

Some countries, states, provinces or other jurisdictions do not allow the exclusion of certain warranties or the limitation of liability as stated in this section, so the below terms may not fully apply to you. In such jurisdictions, the exclusions and limitations below shall apply only to the extent permitted by the laws of such jurisdictions.

The Services and all information, content, materials, products (including software), and other services included on or otherwise made available to you through the Services are provided by Nexus Games on an "as is" and "as available" basis. Nexus Games makes no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials, products or other services included on or otherwise made available to you through the Services. You expressly agree that your use of the Services is at your sole risk. To the full extent permissible by law, Nexus Games disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. Nexus Games does not warrant that the Services, Nexus Games' servers, or electronic communications sent from Nexus Games are free of viruses or other harmful components.

To the full extent permissible by law, Nexus Games will not be liable for any loss of profits or any indirect, incidental, punitive, special or consequential damages arising out of or in connection with these Terms. Further, to the full extent permissible by law, Nexus Games' aggregate liability arising out of or in connection with these Terms will not exceed the total amounts you have paid (if any) to Nexus Games directly under these Terms. These limitations and exclusions regarding damages apply even if any remedy fails to provide adequate compensation.

Governing Law

Any dispute or claim by you arising out of or related to these Terms shall be governed by the laws of the State of California, exclusive of its choice of law rules, and be subject to arbitration only as set out below. The Convention on Contracts for the International Sale of Goods will not apply. Any law or regulation which provides that the language of a contract shall be construed against the drafter will not apply to these Terms. This paragraph will be interpreted as broadly as applicable law permits.

Arbitration and No Class Action

Except for our ability to seek an injunction against you in any court to prevent any imminent harm against Nexus Games or its users, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be settled by binding arbitration subject to the U.S. Federal Arbitration Act ("FAA"), federal arbitration law, and in accordance with the rules of the American Arbitration Association. The arbitrator's decision is final, except for a limited review by courts under the FAA, and can be enforced like any other court order or judgment.

Individual arbitration. The arbitration shall be conducted on an individual basis, and not as a class, consolidated, or representative action. The arbitrator(s) shall have no authority to proceed with arbitration on a class or representative basis. Any relief awarded by the arbitrator(s) shall be individualized to the claimant and shall not affect any other party.

No class action. To the fullest extent permitted by applicable law, no arbitration or claim under these Terms shall be joined to any other arbitration or claim, including any arbitration or claim involving any other current or former user of our Services, and no class arbitration proceedings shall be permitted. You agree to waive any right you may have to commence or participate in any class action against us related to any claim and, where applicable, you also agree to opt out of any class proceedings against us.

Arbitrator authority. The arbitrator(s) shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement, including any contention that all or any part of this arbitration agreement is void or voidable.

Severability. If any provision of this arbitration clause is found to be unenforceable, the unenforceable provision shall be severed, and the remaining arbitration terms shall be enforced.

Execution. This arbitration and no class action clause shall be effective upon acceptance by you of these Terms and shall survive the termination or expiration of these Terms.

Minors' rights preserved. Nothing in this arbitration section limits any non-waivable rights that apply to minors under applicable law.

Disclaimers

We cannot guarantee that any part of the Services will work on or be compatible with or capable of being accessed on any particular devices, platforms, operating systems or equipment, and we do not accept responsibility for such equipment, software or services. We also do not guarantee that the Services can be accessed in all geographic locations.

You accept and acknowledge that Nexus Games will not be responsible for any communication failures, game play disruptions, errors, distortions or delays you may experience when using the Services, however caused.

Waiver

No waiver of these Terms by Nexus Games shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of Nexus Games to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Miscellaneous

These Terms and any document or information referred to in these Terms constitute the entire agreement between you and Nexus Games relating to the subject matter covered by these Terms. All other communications, proposals, and representations with respect to the subject matter covered by these Terms are excluded. As these Terms are personal to you, you may not assign these Terms or transfer any of your rights or duties under them without our prior written consent. A person who is not a party to these Terms shall have no rights to enforce any of its terms.

The original of these Terms is in English. You waive any right you may have under the law of your country to have these Terms written or construed in the language of any other country.

These Terms describe certain legal rights. You may have other rights under the laws of your jurisdiction. These Terms do not change your rights under the laws of your jurisdiction if the laws of your jurisdiction do not permit them to do so. Limitations and exclusions of warranties and remedies in these Terms may not apply to you because your jurisdiction may not allow them in your particular circumstance. In the event that certain provisions of these Terms are held by a court or tribunal of competent jurisdiction to be unenforceable, those provisions shall be enforced only to the furthest extent possible under applicable law and the remaining terms herein shall continue to apply.
